چکیده
شفافیت اطلاعاتی در حوزۀ شرکت‌های تجارتی به عنوان« ابزار تحقق امنیت اقتصادی» در دو بعد خرد و کلان محسوب می شود. به همین دلیل نظام‌های حقوقی با ضروری دانستن دسترسی به این اطلاعات سیستم‌های ثبت شرکت‌ها را تأسیس نمودند. لیکن این نظام‌ها درثبت اطلاعات روش یکسانی ندارند و در قالب دو سیستم «متمرکز » و یا «پراکنده» این اطلاعات را به ثبت می‌رسانند که سبب طرح این مساله می شود که بر مبنای شاخص ایجاد «امنیت اقتصادی» کدامیک از این دو سیستم ثبت اطلاعات متمرکز و پراکنده می تواند از نظر اقتصادی کارآمد محسوب شود؟ در این پژوهش با تحلیل ماهیت و کارکردهای دو قالب ثبت متمرکز و پراکنده و با دیدگاهی تطبیقی بر مبنای منطق حقوق و اقتصاد به این نتیجه رسیدیم که در جهت تحقق امنیت اقتصادی،سیستم ثبت متمرکز علاوه بر هزینۀ کمتر می‌تواند امنیت بیشتری را محقق گرداند و به همین دلیل در چارچوب نظریۀ کارآمدی می‌تواند به عنوان سیستم برتر شناخته شود. در نهایت جهت اصلاح سیستم پراکنده ثبت شرکت‌های تجارتی ایران پیشنهاداتی ارائه گردیده است.

The Impact System of “Centralized and Dispersed Companies’ Registry systems” on the Provision of legal and Economic Security” Abstract Information transparency in the context of Companies is regarded as a means of achieving economic security in both micro and macro dimensions. For this reason, the legal systems, considering the access to this information necessary, established the Companies’ Registry systems; However, these systems do not have the same approach in terms of information registry and And record this information in the form of two systems: Centralized or Dispersed system. In this study, we conclude from a comparative perspective based on the logic of Law & Economics that in order to realize economic security, a centralized registration system can provide more security in addition to lower cost and therefore can be recognized as a superior system within the framework of the efficient theory. Finally, some suggestions have been made to improve the dispersed registration system of Iranian companies.
