| تجربۀ همه‌گیری کووید 19 نشان داد که در پاندمی‌ها و شرایط مشابه آن مانند انتشار مواد پرتوزا که سلامت عمومی به صورت جدی تهدید می‌شود، اجرای برخی تکالیف قانونی حاکم بر شرکتهای سهامی دشوار می‌گردد. نظام‌های حقوقی چابک به سرعت در واکنش به این شرایط به تغییر احکام قانونی خود و تطبیق با شرایط پرداختند. در این مقاله بنیادهای نظری، مبانی قانونی و حدود مداخله دولت در حقوق شرکتهای سهامی در شرایط همه‌گیری کووید ۱۹ در ایران و انگلستان بررسی شده است. این بررسی نشان می‌دهد که دولت در انگلستان در شرایط اضطراری همه‌گیری کووید ۱۹، برای حفظ منفعت عمومی، رویکرد دخالت سریع و وسیع در حوزۀ حقوق شرکت‌ها را اتخاذ نموده است. نظریۀ امتیاز بیش از سایر نظریه‌ها، این مداخلۀ وسیع و سریع دولت را توجیه می‌کند و «قانون سلامت عمومی (کنترل بیماری‌ها)» مصوب 1984 مبنای قانونی لازم برای این مداخله را فراهم آورد. نظام حقوقی ایران از میان ظرفیت‌های قانونی موجود، از ظرفیت مندرج در اصل یکصد و هفتاد و ششم قانون اساسی برای واکنش به شرایط همه‌گیری کووید ۱۹ بهره برده است. اما مداخلۀ دولت در حقوق شرکتهای سهامی ایران محدودتر می‌باشد | ||

| The coronavirus pandemic experience showed that in pandemics and similar conditions such as the spread of Infection, contamination or radiation which present or could present significant harm to the human health, it is difficult to enforce certain legal obligations governing companies. Agile legal systems quickly responded to these situations by changing their legal provisions and adapting conditions. In this article, by comparative study of Iran and England laws and regulations, the theoretical foundations, legal basis and limits of stat's intervention in Company law in Coronavirus Pandemic are examined. This study shows that in coronavirus pandemic, In order to protect the public interest, UK government has adopted the approach of rapid and extensive intervention in the field of corporate law. Concession theory, more than other theoretical foundations of Corporate Law, justifies the theoretical basis of this vast and rapid state intervention and Public Health (Control of Disease) Act 1984 provided the legal basis for this intervention. Among the existing legal capacities, Iran's legal system has used the capacity of Article 176 of the Constitution to respond quickly to the public health threats in the Coronavirus Pandemic. But state intervention in Iran's Corporate Law has been more limited. | ||
